These Terms govern your use of Bizfylr’s annual filing service. By using the service you agree to these Terms.
1. The service
Bizfylr provides private filing assistance: we help you prepare and submit annual reports based on the information you provide. Bizfylr is not a law firm, accounting firm, or government agency and does not provide legal or tax advice. You may always file directly with the state if you prefer.
2. Your responsibilities
- Provide accurate, current, and complete information.
- Authorize us to prepare and submit filings using that information.
- Comply with applicable law in operating your business.
3. Fees and payment
Our service fee plus the applicable state fee (and any state-imposed late penalty) is shown before checkout. State fees are forwarded to the state. Service fees are non-refundable once we begin preparation, except as required by law or as expressly stated at purchase.
4. Filing outcomes
We aim to submit accurate filings promptly, but state acceptance is at the discretion of the relevant agency. We are not responsible for state-side delays, additional state fees you did not disclose, or rejections due to information you provided that turned out to be inaccurate. If a filing is rejected, we’ll work with you to correct and resubmit.
5. Public records
Most information submitted in an annual report becomes public record at the state. By using our service you acknowledge this.
6. Authorization
By completing checkout you authorize Bizfylr to act on your behalf to prepare and submit your annual report, including the use of electronic signatures where the state permits and requires them.
7. Limitations
To the maximum extent permitted by law, Bizfylr’s aggregate liability for any claim arising out of the service is limited to the service fees you paid us in the twelve months prior to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
8. Termination
You may stop using the service at any time. We may suspend or terminate accounts that violate these Terms or appear fraudulent.
9. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules.
10. Changes
We may update these Terms periodically. Material changes will be noted on this page with a revised effective date.
